Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the OCKey mobile application, keyboard extension, website, and related services (the “Service”) provided by Techcon Solution Limited (“Company”, “we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years of age (or the age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Account Registration

Certain features of the Service require an account. You agree to provide accurate, current, and complete information during registration and to keep your credentials confidential. You are responsible for all activity under your account. Notify us immediately if you suspect unauthorised access.

3. The Service

3.1 Description

OCKey is a custom keyboard application for iOS and Android that uses optical character recognition (OCR) and artificial intelligence to capture text from physical documents and insert it into input fields across applications. The Service includes the keyboard extension, host application, cloud template synchronisation, and optional Vision AI processing.

3.2 Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

3.3 Third-Party AI Services

Vision AI features are powered by third-party providers (including OpenAI, Anthropic, and Google). Your use of these features is additionally subject to the applicable provider’s terms of service. We are not responsible for the accuracy, availability, or conduct of third-party AI services. If you use BYOK (Bring Your Own Key), you are directly subject to your agreement with the relevant provider.

4. Subscription Plans and Payments

4.1 Free Tier

The Free tier provides limited functionality and is supported by advertisements displayed within the host application. We reserve the right to modify Free-tier limitations at any time.

4.2 Paid Plans (Pro, Pro+)

Paid subscriptions are billed on a recurring basis (monthly or annually) through the Apple App Store, Google Play Store, or Stripe, depending on your platform and plan. Lifetime licenses, where offered, grant perpetual access to the features available at the time of purchase.

4.3 Pricing Changes

We may change subscription pricing with at least 30 days’ notice. Price changes will not apply to the current billing period. Continued use after the new pricing takes effect constitutes acceptance.

4.4 Refunds

Refunds for App Store and Play Store purchases are governed by Apple’s and Google’s respective refund policies. For Stripe-processed payments, you may request a refund within 14 days of initial purchase or renewal if you have not materially used the Service during that period. Lifetime licenses are refundable within 14 days of purchase.

4.5 Cancellation

You may cancel your subscription at any time through your App Store, Play Store, or account settings. Cancellation takes effect at the end of the current billing period. You retain access to paid features until that date.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Capture, process, or store documents you are not authorised to access
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Circumvent usage limits, authentication, or licensing mechanisms
• Introduce malicious code, interfere with infrastructure, or conduct denial-of-service attacks
• Use automated means to scrape, harvest, or extract data from the Service
• Resell, sublicense, or redistribute access to the Service without written authorisation
• Use the Service in a manner that could harm minors

We reserve the right to suspend or terminate accounts that violate these restrictions without prior notice.

6. Intellectual Property

6.1 Our Rights

The Service, including its software, design, branding, documentation, and all related intellectual property, is owned by Techcon Solution Limited and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.

6.2 Your Content

You retain ownership of all data you capture, templates you create, and text you extract using the Service (“Your Content”). You grant us a limited, non-exclusive licence to host and transmit Your Content solely as necessary to provide the Service (e.g., syncing templates, routing AI requests).

6.3 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, royalty-free licence to use such feedback for any purpose without obligation to you.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that OCR or AI extraction results will be accurate, complete, or error-free. You are responsible for verifying extracted data before relying on it for any purpose, including financial, legal, or compliance-related decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHCON SOLUTION LIMITED AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Techcon Solution Limited from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

We may suspend or terminate your access to the Service at any time for cause (e.g., violation of these Terms) or for convenience with 30 days’ notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including Sections 6, 8, 9, 10, and 13) will survive.

You may delete your account at any time through the app settings or by contacting us. We will delete your data in accordance with our Privacy Policy.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a revised date and, where required, by email. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance. If you disagree with the changes, you must stop using the Service and delete your account.

13. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which Techcon Solution Limited is incorporated, without regard to conflict-of-law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be submitted to binding arbitration under the rules of a mutually agreed arbitration body, unless you are located in a jurisdiction that grants you the right to bring claims in a local court, in which case that right is preserved.

Nothing in these Terms limits your statutory consumer rights under the laws of your jurisdiction.

14. General

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Techcon Solution Limited regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control.
